1. ACCEPTANCE OF TERMS

These Terms of Service constitute the agreement between SMART Communications, Inc and the user of SMART Plug N’ Talk (“Service”). This agreement governs both our Service and any SMART-approved or SMART-provided devices used with our Service. It applies to all lines on each SMART account. SMART Communications, Inc. is sometimes referred to as "we," "us," "our," or "SMART" and the user is sometimes referred to as "you," "your," or "user," or "customer".

By using the Service, you agree to the terms and conditions of this agreement. If you do not agree to these terms and conditions, do not use or immediately discontinue the Service.

1. NO 911 OR EMERGENCY SERVICE

You acknowledge and understand that the Service does NOT currently allow you to access any 911 or similar emergency services (no traditional 911, E911, or similar access to emergency services). You should always have an alternative means of accessing 911 or similar emergency services. It is your responsibility to inform others who use the Service  that they must access these numbers through a traditional landline or mobile phone. The Service is not intended to replace your primary phone service, such as traditional landline or mobile phone.

1. DEVICE

The warranty on the SMART Plug N’ Talk device (“Device”) is only limited to replacement within fifteen (15) days from the purchase date and upon presentation of the official receipt.

Devices purchased in the Philippines may be replaced by selected SMART wireless centers. You may contact our SMART customer care representatives via email and/or customer service number provided in the website, http://smart.com.ph/Corporate/Contact to inquire about the selected SMART wireless centers nearest you. Devices purchased abroad may be subject to the return policy of the retail provider abroad.

Some countries/states do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you. This warranty does not apply to any defect or failure other than a manufacturing defect. There will be no repair warranty for the device.

You will own your device and bear all the risk of loss, theft, or damage. For products directly purchased from SMART, this risk is from the time we ship your Device to you until the time you return it to us according to this agreement.

You may not change the electronic serial number or equipment identifier or encryption keys or other authentication or technical data of your device or perform a factory reset of your device without first getting our written consent.

You are prohibited from using the Device with any Services other than SMART. Other than express warranties for the Device in the documentation that comes with your Device and the customer limited warranty in this agreement, following the term of the limited warranty, we make no warranties of any kind, express or implied, and specifically disclaim, following the term of the limited warranty, any warranty of merchantability, fitness of the device for a particular purpose, title or non-infringement, or any warranty arising by usage of trade, course of dealing, or course of performance, or any warranty that the device or any firmware or software is "error free" or will meet your requirements.

1. EQUIPMENT REQUIRED

In order to use the Service and those services and products within the Service, you must obtain public access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must provide all equipment necessary to make such connection to the World Wide Web or enable pc-to-pc, pc-to-phone, or other internet calling, including computers, modems, mobile devices, microphones, headsets, and handsets.

You are also required to use a valid SMART or Talk N’ Text SIM card to access the Service. Please refer to the terms and conditions of SMART Buddy, Gold, Infinity and Talk N’ Text SIM cards.

Any required or optional equipment that you use to use or access the Service, whether required or optional, is subject to the terms, conditions, warranties and disclaimers provided by the manufacturer of the equipment. Please refer to the materials you received when you purchased the equipment to understand your rights and obligations, including what warranties and disclaimers apply to you.

1. FEES AND PAYMENTS

SMART reserves the right to charge and change fees for future use of or access to the Service.

1. TERMINATION

Your license to the Software and to access the Service continues until it is terminated by either party. You may terminate this license by discontinuing use of all or any of the Software and by destroying all your copies of the applicable Software. SMART may terminate this license pursuant to "Termination" section of the TOS.

1. PRIVACY

Information gathered by SMART will be used only by us. It will not be shared with any external party except for a subscriber’s unlawful use of the service.

SMART uses, in whole or in part, the public Internet, the public switched telephone network, and third party networks to transmit voice and other communications. SMART is not liable for any lack of privacy which you may experience from using our service.

1. RESTRICTIONS ON USE

YOU MAY NOT and will not allow any third party to:

Copy, decompile, reverse engineer, reverse assemble, disassemble, modify, rent, lease, loan, distribute, or create derivative works or improvements from the Software, or any portion thereof, or otherwise attempt to discover any source code or protocols (including but no limited to API protocols) in the Service;

Obtain or attempt to obtain unauthorized access to the Service or the SMART Communications, Inc network;

Incorporate the protocols or Software, or any portion thereof, into any other service, software, hardware, or other technology manufactured or distributed by or for you;

Use the Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this License;

Use the Service to operate nuclear facilities, life support, or other mission critical application where human life or property may be at stake. You understand that the Service is not designed for such purposes and that its failure in such cases could lead to death, personal injury, or severe property or environmental damage for which SMART Communications, Inc is not responsible; or

Sell, lease, loan, distribute, transfer, or sublicense the Service or access thereto or derive income from the use or provision of the Service, whether for direct commercial or monetary gain or otherwise, without SMART Communications, Inc’s prior, express, written permission.

You may use the Service and your Device only for lawful, proper and appropriate purposes. You may not use the Service or your Device in any way that is illegal, improper or inappropriate.  For You may use the Service and your Device only for lawful, proper and appropriate purposes. If we believe that you have used our Service or your Device for an unlawful purpose, we may forward the relevant communication and other information, including your identity, to the appropriate authorities for investigation and prosecution. You consent to our forwarding of any such communications and information to these authorities. In addition, we may disclose your name, telephone number, credit card information, and other personal information, any communications sent or received by you, and any other information that we may have about your account, including but not limited to, types of service, length of service, MAC address(es), IP address(es), email address(es), registered 911 address, and all other account information, in response to law enforcement or other governmental agency requests; as required by law, regulation, rule, subpoena, search warrant, or court order; as necessary to identify, contact, or bring legal action against someone who may be misusing the service, the device, or both; to protect SMART''s rights and property; or in emergency situations where disclosure of such information is necessary to protect SMART customers or third parties from imminent harm.

Although we encourage you to use our Service to call the Philippines from foreign countries and to use our Service as you travel, the services are only offered and supported in the Philippines. Our Service is designed to work generally with unencumbered high-speed internet connections. However, if your ISP or broadband provider places restrictions on using internet services, we do not claim that they will allow you to use our Service. You will be solely responsible for any violations of local laws and regulations or violations of ISP and broadband provider terms of service because of your use of our service.

1. LIMITATION OF LIABILITY

In no event shall SMART be liable for indirect, consequential, punitive, or special damages, including but not limited to lost profits or revenue or increased costs of operation, regardless of whether we have been informed or aware of the possibility thereof.

In any event of Service interruption not otherwise due to your fault or negligence, we shall not be liable for any and all damages that you or your clients may suffer as are result thereof. This provision shall survive the termination of this Agreement or cancellation of the Services.

INDEMNIFICATION AND WAIVER OF CLAIMS 

Although the information and recommendations set forth herein (hereinafter "Information") are presented in good faith and believed to be correct as of the date hereof, SMART Communications Inc. makes no representations as to the completeness or accuracy thereof. Information is supplied upon the condition that the persons receiving same will make their own determination as to its suitability for their purposes prior to use. In no event will SMART Communications Inc. be responsible for damages of any nature whatsoever resulting from the use of or reliance upon Information.

You shall defend, indemnify, and hold harmless SMART, its officers, directors, employees, affiliates and agents, and any other service provider who furnishes services to you for our service, from any and all claims, losses, damages, fines, penalties, costs, and expenses (including, without limitation, attorneys fees) by, or on behalf of, you or any third party or user of our Service, relating to our Service, or your Device(s), or use of our Service by you or others using your account (whether or not such usage is expressly authorized by you).

You shall indemnify and hold SMART Communications Inc. harmless against all and any loss, liability, actions, suites, proceedings, costs, demands and damages of all and every kind, (including direct, indirect, special or consequential damages), and whether in an action based on contract, negligence or any other action, arising out of or in connection with the failure or delay in the performance of the Services offered, or the use of the Services, information and/or images available on this website, whether due to our negligence or not.

You are liable for all liability that may arise from the content transmitted to any person, whether or not you authorize it, using your service or Device(s). You promise that you and anyone who uses your service and all your and their content comply at all times with all laws, regulations, and written and electronic instructions for using our Service and the Device.

DISPUTE RESOLUTION

In case of any dispute, you may contact our SMART customer care representatives at the email address and/or customer service number provided in the website, http://smart.com.ph/Corporate/Contact

For prepaid concerns, you may contact SMART customer care within one (1) week from the date of the event or transaction you wish to dispute, or you waive the right to pursue a claim based upon such event, facts, or dispute.

For postpaid concerns, you may contact SMART customer care within one (1) month from the bill cut-off date that includes the event giving rise to a dispute, or you waive the right to pursue a claim based upon such event, facts, or dispute.

MISCELLANEOUS

No Third Party Rights. This Agreement is binding upon and inures solely to the benefit of the parties. It does not provide any third party with a remedy, claim, or right of reimbursement whatsoever.

Acts Beyond Our Control. Neither party will be responsible to the other for any delay, failure in performance, loss or damage due to fire, explosion, power blackout, earthquake, volcanic action, flood, the weather elements, strike, embargo, labor disputes, acts of civil or military authority, war, acts of God, acts or omissions of carriers or suppliers, acts of regulatory or governmental agencies, or other causes beyond our reasonable control, except that you must pay for any Services used.

Assignment. We can assign all or part of our rights or duties under this Agreement without notifying you. If we do that, we have no further obligations to you. You may not assign this Agreement or the Services without our prior written consent.

Notices. Notices from you to SMART must be made by calling the customer service hotline. Your notice shall take effect as of the date that our records show that we received your call. SMART notice to you under this Agreement will be provided by one or more of the following: posting on our web site, recorded announcement, newspaper ad, postcard, letter, call to your billed telephone number, or e-mail to an address provided by you.

Separability. If any part of this Agreement is found invalid, the rest of the Agreement will remain valid and enforceable.

Governing Law. This Agreement is governed by Philippine Laws to the full extent applicable, without regard to its choice of law rules. This governing law provision applies no matter where you reside, or where you use or pay for the Services.

Legal Suit. Any and all suits that may arise from the provision of this Service shall be brought exclusively to the proper Courts of Makati City, Philippines, to the exclusion of any other Courts or jurisdictions.

Entire Agreement. This Agreement constitutes the entire agreement between us and supersedes all prior agreements, understandings, statements or proposals, and representations, whether written or oral. No written or oral statement, advertisement, or service description not expressly contained in the Agreement will be allowed to contradict, explain, or supplement it. Neither you nor SMART is relying on any representations or statements by the other party or any other person that are not included in this Agreement.

MODIFICATIONS TO SERVICE

SMART reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that SMART shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. SMART may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

COPYRIGHT AND TRADEMARK

Our website content, our software, our hardware, our materials, services, logs, service marks and trademarks are protected by trademark, copyright, or other intellectual property laws, and international treaty provisions. Infringement by you may result in civil or criminal prosecution.

Third parties may make materials available using our service.

These third parties are not within our control. We do not review the content posted on our Service to see if it includes illegal or impermissible content, nor are we under any obligation to conduct any review. However, we respect the copyright interests of others. It is our policy not to permit materials we know infringes another party''s copyright to remain on our Service. If you believe any material on our service infringes a copyright, you should give us written notice.
